1. Acceptance of Terms

By accessing or using Investta ("the Platform"), operated by Investta ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Description of Service

Investta is an online platform that enables hosts to create investment events, manage investors, and facilitate investment transactions. The Platform provides tools for event creation, investor management, virtual meetings, real-time dashboards, and portfolio tracking. Investta is a technology platform and does not provide financial advice, investment recommendations, or brokerage services.

3. Account Registration

To use the Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must be at least 18 years of age to create an account. You agree to notify us immediately of any unauthorized use of your account.

4. User Roles

Hosts are users who create and manage investment events. Hosts are solely responsible for the accuracy of event information, compliance with applicable securities laws, and all obligations to their investors.

Investors are users who browse and participate in investment events. Investors are responsible for conducting their own due diligence before making any investment decisions.

5. Subscription Plans & Billing

Certain features require a paid subscription. Subscription fees are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time through the billing portal; access continues until the end of the current billing period. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

6. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Post false, misleading, or fraudulent event information
• Impersonate any person or entity
• Interfere with or disrupt the Platform or its infrastructure
• Attempt to gain unauthorized access to other users' accounts
• Use automated tools to scrape data or content from the Platform
• Upload malicious code, viruses, or harmful content

7. Intellectual Property

All content, branding, software, and technology on the Platform are owned by Investta and protected by intellectual property laws. You retain ownership of content you upload but grant us a limited license to display and process it as necessary to provide the service.

8. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, error-free, or secure. We are not responsible for the accuracy of information posted by hosts or the outcome of any investment decisions made through the Platform.

9. Limitation of Liability

To the maximum extent permitted by law, Investta shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or investments, arising from your use of the Platform. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Investta, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these terms.

11. Account Termination

You may delete your account at any time through your account settings. We reserve the right to suspend or terminate accounts that violate these terms. Upon termination, your data will be deleted in accordance with our Privacy Policy.

12. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the Platform. Continued use after changes constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
